1. Agreement to Terms

By accessing or using Hadithi ("the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. The Service is operated by Hadithi ("we," "us," or "our").

These Terms constitute a legally binding agreement between you and Hadithi. They apply to all visitors, users, and others who access or use the Service, including users who join the waitlist before the Service is generally available.

We may also have supplemental terms or policies for specific features. Where supplemental terms conflict with these Terms, the supplemental terms govern for that feature.

2. Description of Service

Hadithi is an AI-powered research and writing assistant for content creators. The Service helps users:

  • Explore topics through AI-driven research, surfacing quotes, data, angles, and insights
  • Analyze writing samples to build a personalized voice profile
  • Generate drafts for platforms including LinkedIn, Twitter/X, and blogs that match their writing voice
  • Edit, refine, and rewrite content with AI assistance
  • Manage a content publishing cadence

The Service relies on third-party AI models to process content. The availability, quality, and speed of AI features depend on these third-party providers and may vary.

3. Eligibility

You must be at least 18 years old to use the Service. By using Hadithi, you represent and warrant that you:

  • Are at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Are not prohibited from using the Service under any applicable law
  • Will use the Service only for lawful purposes and in compliance with these Terms

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

4. Account Registration and Security

To access certain features, you must create an account using email registration or through third-party OAuth providers (Google, LinkedIn). When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and current
  • Maintain the confidentiality of your login credentials and not share them with any third party
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other security breach

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

You may have only one active account. Creating multiple accounts to circumvent restrictions or abuse the Service is prohibited.

5. User Content

Ownership. You retain full ownership of all content you submit to or create through Hadithi, including writing samples, topics, research sessions, drafts, and published posts ("User Content"). We claim no ownership rights over your User Content.

License to Hadithi. By submitting User Content to the Service, you grant Hadithi a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, and display your User Content solely as necessary to:

  • Provide, maintain, and improve the Service (including AI-powered voice analysis, research, and draft generation)
  • Develop new features and services
  • Comply with applicable law

This license terminates when you delete your User Content or your account, except where your content has been shared with others who have not deleted it, or where retention is required by law.

Your Responsibility. You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:

  • You own or have the necessary rights and permissions to submit your User Content
  • Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other rights
  • Your User Content does not contain material that is unlawful, defamatory, obscene, threatening, or otherwise objectionable
  • Your User Content does not contain viruses, malware, or other harmful code

Content Removal. We reserve the right (but have no obligation) to review, monitor, and remove User Content that we believe violates these Terms or applicable law, or that we find objectionable in our sole discretion.

6. AI-Generated Content

The Service uses artificial intelligence to generate research summaries, voice analyses, writing suggestions, and draft content ("AI Output"). You acknowledge and agree that:

  • No guarantee of accuracy. AI Output may contain factual errors, inaccuracies, biases, or hallucinated information. You are solely responsible for reviewing, verifying, and editing all AI Output before publishing or relying on it.
  • No professional advice. AI Output does not constitute legal, medical, financial, or other professional advice. Do not rely on AI Output as a substitute for professional consultation.
  • Ownership of output. Subject to these Terms and any applicable third-party AI provider terms, you may use, modify, and publish AI Output generated through your use of the Service. However, identical or substantially similar output may be generated for other users.
  • Platform compliance. You are responsible for ensuring that any content you publish (whether AI-generated or human-written) complies with the terms of service and content policies of the platform on which you publish it.
  • Disclosure. Certain jurisdictions or platforms may require disclosure that content was created with AI assistance. You are responsible for complying with any applicable disclosure requirements.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any unlawful, fraudulent, or malicious purpose
  • Generate content that is hateful, harassing, threatening, sexually explicit, or that promotes violence or discrimination
  • Generate content designed to mislead, deceive, or manipulate, including deepfakes, disinformation, or impersonation of real individuals
  • Use the Service to generate spam, unsolicited bulk messages, or content that violates platform policies
  • Attempt to reverse-engineer, decompile, disassemble, or extract source code from the Service or its underlying AI models
  • Attempt to circumvent rate limits, usage quotas, or other technical restrictions
  • Use automated means (bots, scrapers, crawlers) to access the Service without prior written consent
  • Interfere with, disrupt, or place an unreasonable burden on the Service's infrastructure or networks
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Collect, harvest, or store personal information of other users without their consent
  • Use the Service to develop a competing product or service, or to benchmark the Service without prior written consent
  • Attempt to probe, scan, or test the vulnerability of the Service or any related system or network
  • Violate any applicable local, national, or international law or regulation

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including suspending or terminating access, reporting to law enforcement, and pursuing legal remedies.

8. Fees and Payment

Certain features of the Service may require payment of fees. If you choose to use paid features:

  • Billing. You agree to pay all fees associated with your selected plan. Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise stated.
  • Payment method. You must provide a valid payment method. You authorize us to charge your payment method for all fees incurred.
  • Price changes. We may change our fees at any time. For existing subscribers, fee changes will take effect at the start of the next billing cycle, with at least 30 days' prior notice.
  • Refunds. Fees are generally non-refundable, except as required by applicable law or as otherwise stated in a specific offer or promotion.
  • Taxes. Fees are exclusive of applicable taxes (VAT, sales tax, etc.), which will be added where required by law.
  • Failed payments. If payment fails, we may suspend access to paid features until payment is received. We may retry payment or contact you before suspending access.

Free tiers or trial periods, if offered, are subject to their own terms. We reserve the right to modify or discontinue free access at any time.

9. Third-Party Services

The Service integrates with or relies on various third-party services, including:

  • Authentication providers: Google and LinkedIn for OAuth-based sign-in
  • AI providers: Third-party AI model providers (such as Anthropic and Google) for content processing and generation
  • Infrastructure providers: Hosting, storage, and delivery services

Your use of these third-party services may be subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service. Third-party service outages or changes may affect the availability or functionality of Hadithi.

We do not endorse and are not liable for any third-party content, products, or services, even if linked from or integrated with the Service.

10. Intellectual Property

Our property. The Service — including its design, user interface, code, algorithms, branding, logos, trademarks, documentation, and all other proprietary materials — is owned by Hadithi and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

Restrictions. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service or any part thereof, except as expressly permitted by these Terms or applicable law.

Feedback. If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback into the Service without any obligation to you. Feedback is voluntary, and you are under no obligation to provide it.

Trademarks. "Hadithi" and associated logos are trademarks of Hadithi. You may not use our trademarks without prior written permission, except as necessary to reasonably identify the Service in non-misleading references.

11. Copyright and DMCA

We respect intellectual property rights and expect our users to do the same. If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement, please notify us with the following information:

  • A description of the copyrighted work you claim has been infringed
  • A description of where the allegedly infringing material is located on the Service
  • Your contact information (name, address, telephone number, email)
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
  • Your physical or electronic signature

Send copyright notices to legal@hadithi.org. We may remove or disable access to allegedly infringing content and may terminate the accounts of repeat infringers.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PURPOSE
  • WARRANTIES REGARDING THE RESULTS OBTAINED FROM USING THE SERVICE
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

HADITHI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY AI-GENERATED CONTENT OBTAINED THROUGH THE SERVICE
  • UNAUTHORIZED ACCESS TO, ALTERATION OF, OR LOSS OF YOUR DATA OR CONTENT
  • STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE
  • ANY OTHER MATTER RELATING TO THE SERVICE

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Hadithi and its officers, directors, employees, agents, suppliers, and licensors from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your User Content, including any content you publish through or using the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third party's rights, including intellectual property, privacy, or publicity rights

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

16. Termination

By you. You may terminate your account at any time by deleting it through the Service or by contacting us at legal@hadithi.org. Upon deletion, we will remove your personal data and content in accordance with our Privacy Policy.

By us. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to: violation of these Terms, fraudulent or illegal activity, extended periods of inactivity, or discontinuation of the Service.

Effect of termination. Upon termination:

  • Your right to access and use the Service ceases immediately
  • Any outstanding fees remain payable
  • We may delete your account data after a reasonable retention period (see Privacy Policy)
  • Provisions that by their nature should survive termination will survive, including Sections 5 (User Content — ownership and license), 10 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), and 19 (Governing Law)

17. Service Modifications and Availability

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We do not guarantee that the Service will be available at all times. Downtime may occur due to maintenance, updates, or circumstances beyond our control.

18. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will provide notice through the Service or by sending you an email at least 30 days before the changes take effect. Non-material changes may take effect immediately.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

The "last updated" date at the top of this page indicates the most recent revision.

19. Governing Law and Dispute Resolution

Governing law. These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles.

Informal resolution. Before filing any formal dispute, you agree to first contact us at legal@hadithi.org and attempt to resolve the dispute informally for at least 30 days.

Arbitration. If we cannot resolve the dispute informally, any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property rights or unauthorized access to the Service.

Class action waiver. TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

20. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations. You may not use or access the Service if you are located in a country subject to comprehensive sanctions, or if you are on any restricted party list.

21. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, epidemics or pandemics, government actions, power outages, internet or telecommunications failures, or third-party service provider failures.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

23. Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. A waiver of any term shall only be effective if in writing and signed by an authorized representative of Hadithi.

24. Entire Agreement

These Terms, together with the Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and Hadithi regarding the Service. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.

25. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.
